Terms of service

1. Overview
This website is operated by Reliability Direct Store, LLC ("Reliability Direct", "we", "us", "our"), 1810 Military Rd, Suite 100, Buffalo, NY 14217. These Terms of Service ("Terms") govern your use of our website and every quote, order, purchase and rental placed with us, whether online, by phone, by email or by purchase order. By using the site or placing an order, you agree to these Terms, our Privacy Policy, and our Refund / Return Policy and Shipping Information, which are part of these Terms. If you do not agree, do not use the site or place an order.
Terms or conditions printed on a customer purchase order or other customer document do not apply unless we agree to them in writing.
2. Who We Sell To
Our products are industrial maintenance, reliability and test equipment intended for professional and business use. You must be at least 18 years old and able to form a binding contract. If you order on behalf of a company, you confirm you are authorized to bind that company to these Terms. You are responsible for keeping your account credentials secure and for all activity under your account.
3. Products, Descriptions and Availability
Product descriptions, specifications, images, datasheets and certifications (including intrinsic-safety and hazardous-area ratings) are provided by the manufacturer or taken from manufacturer materials. We work to keep them accurate, but manufacturers change products without notice and we do not warrant that every description is complete, current or error-free. It is your responsibility to confirm that a product meets your application, safety, and regulatory requirements before use, particularly for equipment used in hazardous locations.
Stock information is shown only where we receive it from the manufacturer or distributor and is not guaranteed. Products may be discontinued, replaced or become unavailable at any time. Special-order and custom items are identified as such and may have longer lead times and different return terms.
4. Pricing, Quotes and Taxes
Prices are in U.S. dollars and may change without notice. A written quote is valid for the period stated on the quote and only for the items, quantities and terms it lists. We reserve the right to correct pricing, typographical or other errors, including after an order is placed; if an error affects your order, we will contact you before shipping and you may cancel.
Prices do not include sales tax, which is charged where required by law. To purchase tax-exempt, you must provide a valid exemption or resale certificate before the order is processed. International orders do not include import taxes, duties, tariffs or brokerage fees, which are the buyer's responsibility.
5. Orders and Acceptance
Your order is an offer to buy. An order is accepted when we confirm it or ship it. We may refuse or cancel any order, or limit quantities, for reasons including product unavailability, pricing or description errors, suspected fraud, failure to verify payment or carrier account information, or export restrictions. If we cancel an order after you have been charged, we will refund the amount charged.
6. Payment
When you place an order, we place an authorization (a temporary hold) on your payment method for the order total, including estimated shipping. After your order ships, we charge the actual amount due, up to the authorized total. Any unused portion of the hold is released by your card issuer, which can take several business days. If your order has not shipped before the authorization expires, we may charge the full estimated amount and refund the difference once the actual shipping cost is known.
Credit terms (for example, Net 30) are available only to approved customers and only as stated in writing. Invoices are due upon receipt unless you have approved credit terms. Past-due balances may be subject to collection costs as permitted by law, and we may hold shipments on accounts that are past due.
7. Shipping and Delivery
Estimates. Shipping amounts shown at checkout are estimates based on your delivery address, the products ordered, their weight and packaging, and where each item ships from. Many items ship directly from the manufacturer or distributor, so one order may arrive in several shipments. Delivery dates are estimates and are not guaranteed.
Title and risk of loss. All shipments are FOB shipping point. Title and risk of loss pass to you when the goods leave the shipping dock of the shipping location (ours, the manufacturer's or the distributor's). If a shipment is lost or damaged in transit, we will assist you with the carrier claim.
Your own carrier account. Approved customers may have shipments billed to their own UPS, FedEx or other carrier account by providing the carrier name, account number and the billing postal code on that account. We may verify the account before shipping. You are responsible for all charges the carrier bills to your account and for providing accurate information. There is no handling fee for orders shipped on your own carrier account.
Carrier charges billed back to us. Carriers sometimes bill the shipper after delivery, for example when a third-party or recipient account is invalid, closed or declines payment, or for address corrections, dimensional-weight adjustments, residential or accessorial surcharges. If any such charge for your shipment is billed to us, you agree to reimburse us, and you authorize us to charge it to your payment method on file or invoice you for it.
Freight. Heavy or oversized items may ship by freight (LTL). Freight charges shown at checkout are estimates confirmed when the shipment is booked. Accessorial charges such as liftgate, residential, inside delivery or appointment scheduling are billed at cost if required.
Restricted items. Some items, such as batteries, adhesives and paint markers, are regulated as hazardous materials and can only ship by ground or other permitted methods.
Inspection. Please inspect every shipment on arrival and report visible damage, shortages or incorrect items to us right away, and no later than the deadline in our Return Policy.
Questions about a shipping charge must be raised within 30 days of the charge by emailing support@reliabilitydirect.com; we will provide the carrier documentation for any adjustment. Shipping fees are non-refundable except where we shipped in error.
8. Returns, Cancellations and Refunds
Returns are governed by our Refund / Return Policy. In summary: you must contact us within 7 calendar days of delivery; items must be new, unused and unaltered; special-order and custom items are not returnable; non-defective returns that are not exchanged are subject to a 15% restocking fee; and the customer pays return shipping unless we are at fault. Refunds are issued after the returned item is received and inspected. Orders for special-order, custom or drop-shipped items that have already been placed with the manufacturer may not be cancellable, or may be subject to manufacturer cancellation charges.
9. Equipment Rentals
Rental equipment remains our property (or the property of our supplier) at all times. The rental period, rates, deposit and any rental-specific terms are shown on the product page, in your order confirmation, or in a separate rental agreement, which take priority over this section if they differ. During the rental, you are responsible for the equipment from delivery until we receive it back, must use it only for its intended purpose by trained personnel and in accordance with the manufacturer's instructions, and may not sublease, modify or move it outside the country of delivery without our written approval. Equipment must be returned complete, with all accessories and cases, in the same condition as received apart from normal wear. You authorize us to charge your payment method for late returns, cleaning, missing items, and repair or replacement of equipment that is lost, stolen or damaged beyond normal wear. Rental equipment is provided as-is; we are not liable for downtime, lost data or results obtained using rented equipment.
10. Warranties
New products are covered only by the manufacturer's warranty, if any, which we pass through to you to the extent permitted. Warranty claims are handled by the manufacturer, and we will help you start the process. Refurbished or used items carry only the warranty, if any, stated on the product page or quote.
EXCEPT FOR THE MANUFACTURER WARRANTIES DESCRIBED ABOVE, PRODUCTS, RENTALS, THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, RELIABILITY DIRECT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RELIABILITY DIRECT AND ITS OWNERS, EMPLOYEES, SUPPLIERS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, DOWNTIME, EQUIPMENT DAMAGE OR LOST DATA, ARISING FROM YOUR USE OF THE WEBSITE OR ANY PRODUCT OR RENTAL, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER OR RENTAL WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR RENTAL GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Reliability Direct from claims, losses and expenses (including reasonable attorneys' fees) arising from your misuse of products or rental equipment, your breach of these Terms, or your violation of any law or third-party right.
13. Export Compliance
Some products we sell are subject to U.S. export control and sanctions laws. You agree not to export, re-export or transfer any product in violation of those laws, and you are responsible for obtaining any required licenses. We may request end-use information and may decline orders that we believe would violate these laws.
14. Website Use and Intellectual Property
Website content, including text, layout, graphics and our logos, belongs to us or our licensors. Manufacturer names, logos and product names are trademarks of their respective owners and are used only to identify their products. You may not copy, scrape or republish site content, use automated tools to place orders or extract data, interfere with the site's operation, or use the site for any unlawful purpose. Links to third-party websites are provided for convenience; we are not responsible for their content or practices.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising from these Terms or any order or rental will be brought exclusively in the state or federal courts located in Erie County, New York, and you consent to their jurisdiction.
16. General
We may update these Terms at any time by posting the revised version on this page; the version in effect when you place an order applies to that order. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the policies referenced above and any written quote or rental agreement we issue, are the entire agreement between you and us regarding their subject.
